Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") govern your access to and use of Matchnclose (the "Platform"), operated by BrokerNetwork.in ("we", "us", "our"). By creating an account, posting a listing, or otherwise using the Platform, you agree to be bound by these Terms and our Privacy Policy.

If you are entering into these Terms on behalf of a real-estate firm, brokerage, or developer entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

We may, at our discretion, request supporting documentation (RERA certificate, GSTIN, PAN) and reject or suspend accounts that fail verification.

3. Your account

You are responsible for safeguarding your login credentials and for any activity under your account. Notify us immediately at hello@coclose.in if you suspect unauthorised access.

One natural person may register one account. Multiple accounts to circumvent rate limits, bans, or trust signals are prohibited.

You may use Matchnclose only to discover, list, match, and co-broker real-estate inventory in good faith. You agree not to:

You are solely responsible for the accuracy, legality, and timeliness of every listing or requirement you post. Owners and developers post at "pending" status; an admin reviews within 24 hours and may approve, request edits, or reject. Brokers and agents post live immediately, subject to RERA verification at signup.

We may remove or suspend any listing that violates these Terms, applicable law, or our community standards. Rejected listings can be edited and resubmitted; we never delete the underlying record without the owner's option to fix.

6. Co-broking conduct

Matchnclose is a network for matching counterparties — we are not a party to any deal. When you connect with another broker through the Platform, you agree to:

Matchnclose is a discovery and coordination tool. We do not guarantee the success of any deal, the conduct of counterparties, or commission payouts. Disputes between brokers are between those brokers.

7. Commissions & disputes

Commission percentages, splits, and timing are agreed bilaterally between you and the other broker (and/or the developer for new launches). The Platform may surface suggested splits but does not enforce them. Matchnclose is not an escrow agent and does not handle commission payouts unless explicitly stated for a specific paid plan.

If you have a dispute, attempt good-faith resolution with the counterparty first. We may, at our discretion, provide audit logs (matches, messages, listing history) on request, but we are not arbiters of commercial disputes.

8. Your content

You retain all ownership of content you post (listing photos, descriptions, profile data). By posting, you grant us a worldwide, non-exclusive, royalty-free licence to host, display, distribute, and modify (for formatting) your content for the purpose of operating and promoting the Platform.

You represent that your content does not infringe any third-party intellectual property, privacy, or publicity rights, and that you have all necessary permissions for any photos featuring third parties or property.

9. Fees & billing

Matchnclose is currently free for brokers, agents, and owners during beta. Developer plans and certain premium features may be offered for a fee, with pricing disclosed at point of purchase. We will provide at least 60 days' notice before introducing any fees on currently-free tiers.

All fees are in INR, exclusive of applicable GST. Refund eligibility is governed by our Refund Policy.

10. Suspension & termination

You may delete your account at any time from Settings → Account → Reset all app data or by writing to us. We may suspend or terminate your account, with or without notice, if you breach these Terms, post unlawful content, or pose a risk to other users.

Upon termination, your right to use the Platform ends immediately. Listings you posted will be removed from public view; certain transactional records (matches, dispute logs) may be retained as required by law.

11. Disclaimer of warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for purpose, or non-infringement, to the maximum extent permitted by law. We do not warrant uninterrupted operation, accuracy of listings posted by others, or specific outcomes from using the Platform.

12. Limitation of liability

To the maximum extent permitted by Indian law, our aggregate liability for any claim arising out of or relating to these Terms or your use of the Platform shall not exceed the greater of (a) ₹10,000 or (b) the fees you paid us in the twelve (12) months preceding the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost commissions, or loss of business opportunity.

13. Governing law & jurisdiction

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India. Nothing in these Terms restricts your statutory rights as a consumer under the Consumer Protection Act, 2019.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days in advance. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
